Responsibilities

Senior Counsel, Commercial Transactions (TPA)

Ready to close the deals that power self-funded health plans?

Why This Role Matters

Behind every self-funded employer plan we administer sits a web of contracts, and those contracts decide how fast we can move, how well we serve plan sponsors, and how confidently we stand behind our promises. As Senior Counsel on Personify Health’s commercial legal team, you’ll build the agreements that make our TPA business work, from client administrative services agreements to the network, pharmacy, stop-loss, and vendor partnerships behind them. You’ll partner directly with Sales, Account Management, Operations, Finance, and Procurement, giving them clear, practical legal guidance that keeps deals compliant and moving. Reporting to the SVP, Legal, you’ll run your own practice and own your transactions from first draft to signature. When your contracts are sharp and your counsel is trusted, our teams win business faster and our members get the care and coverage they count on.

What You’ll Actually Do

  • Draft, negotiate, and close TPA client agreements: Own administrative services agreements, renewals, amendments, fee schedules, performance guarantees, business associate agreements, and implementation, transition, and termination provisions for self-funded ERISA and non-ERISA (governmental and church) plan sponsors, so clients get clear terms and we get workable ones.
  • Support the broader commercial portfolio: Handle wellbeing platform and services agreements plus strategic partnership and channel agreements, keeping the full range of Personify Health offerings on solid contractual footing.
  • Negotiate vendor, network, and partner agreements: Manage provider network and rental network access, pharmacy benefit, stop-loss, cost-containment and claims editing, care navigation, and point-solution vendor contracts that keep TPA operations running smoothly.
  • Advise on ERISA and health plan compliance in contracting: Guide fiduciary and plan administrator role allocation, alignment with plan documents and SPDs, claims and appeals procedures, COBRA, the No Surprises Act, and transparency requirements, working alongside the plan documents and regulatory compliance teams.
  • Serve as the legal go-to for the business: Resolve questions on contract interpretation, client and vendor escalations, and disputes for Sales, Account Management, Finance, Operations, and Procurement.
  • Build and maintain templates and playbooks: Keep contract templates, negotiation playbooks, and fallback positions current so the business negotiates consistently and closes faster.
  • Anticipate and assess risk: Spot issues early, weigh risk strategically and practically, and deliver clear recommendations to business stakeholders and leadership.
  • Counsel senior leaders: Advise executives on deal structure, risk tradeoffs, and commercial terms, translating legal complexity into decisions the business can act on.
  • Run a high-volume practice independently: Manage your own docket across many contract types, taking transactions from intake through execution with minimal oversight.

This is a builder-closer seat. You'll move fast, exercise sharp judgment on risk, and turn what you learn in the room into templates, playbooks, and processes that make the whole team faster. You'll partner directly with our enterprise, commercial, and mid-market sales teams, and help shape our approach on a mix of complex issues - including open-source/proprietary licensing, data governance, regulatory compliance questions - that most commercial counsel never touch.

If you're the go-to deal lawyer who also builds the systems that make everyone around you better — and you're already using AI to get there — we want to talk to you.

This position reports to the Head of Commercial Legal and is fully remote.

What You’ll Do:

  • Close deals fast and well: Provide high impact partnership and support to our revenue teams, including the enterprise, commercial, and mid-market sales teams, the customer success team, and the professional services team.
  • Be a true partner to revenue: Provide hands-on support to enterprise, commercial, and mid-market sales, customer success, and professional services, effectively helping to meet business objectives and close deals while managing potential risks — the kind of partnership that makes people want to loop you in early.
  • Build systems: Own and continuously improve our templates, playbooks, and resources so every deal after yours closes faster and better; and and track key operational and business metrics.
  • Flex where there’s need: Take on various legal needs of a high-growth company, including with our product, marketing, community relations, and similar teams, based on background and interest.
  • Advise and guide: Act as a strategic business partner, advising internal clients and leadership on legal matters critical to growth and innovation.
  • Put AI to work: Leverage AI tools and workflows to accelerate drafting and negotiation without sacrificing quality, with a focus on building scalable processes that the entire Commercial Legal team can benefit from.
  • Mentor: Serve as a resource and mentor to more junior members of the Legal Team.

What You Need:

  • JD or equivalent from an accredited law school and a license to practice in an applicable jurisdiction.
  • A minimum of 8 yearsof relevant legal experience.
  • Extensive experience drafting and negotiating commercial agreements and intellectual property licenses, including SaaS, partnership, professional services, and vendor agreements.
  • Strong working knowledge of commercial law, IP law, data protection regulations and other regulatory requirements.
  • A track record of working collaboratively and building trusted strategic advisor relationships with internal clients.
  • Excellent communication skills with a demonstrated ability to translate complex issues into practical, actionable guidance.
  • Demonstrated ability to manage competing priorities, collaborate cross-functionally, and drive resolution of open issues.
  • AI fluency - you've built a real tool, workflow, or process with AI that measurably improved speed or scale, and you're excited to bring that mindset here.
  • Willingness to operate as an individual contributor with the scrappy mentality needed to succeed in a high-growth company.

How Your Impact Will Be Measured:

  • Velocity of revenue deal closed on risk-balanced terms.
  • Percentage of deals closed without senior review or escalation.
  • Number of contract templates and playbooks updated and successfully adopted.
  • Number of informal team practices fleshed out and documented as policies and processes.
  • Development of metrics to assess impact of team’s use of AI tools.
  • Stakeholder confidence in your ability to communicate clearly and in a timely manner.
  • Time and effort spent mentoring others on the team.

What Will Make You Stand Out:

  • Law firm and in-house experience.
  • Experience working at a company that is active in open source.
  • Knowledge or curiosity about the technology powering our products and services.
  • A bias towards proactive engagement - you seek stretch projects and jump in to help others out.
  • Experience thriving in a fast-paced, high-growth environment, ideally within a startup or with a demonstrated ability to adapt to rapid change.
Why You'll Like Working Here:
  • You'll thrive in a high-performance environment where results are recognized and rewarded
  • Your work directly contributes to shaping the future of data science, machine learning, and AI in the enterprise.
  • You'll work alongside a collaborative team that values diverse, thoughtful discussion, clarity and candor.
